AI Terms of Use
SeaCompliance AI
We’ve been developing SeaLogs’ new GenAI-powered compliance assistant for maritime operators, known as SeaCompliance AI. We’re excited to run this Beta Trial and appreciate your interest in participating.
These Terms of Use (“Terms”) govern your participation in the Beta Trial. Please read them carefully, as acceptance of these terms is required to participate.
1. Background
These Terms are between you and SeaLogs Limited (“we,” “us,” or “our”). By joining the Beta Trial, you agree to these Terms on behalf of yourself or any organization you represent.
SeaLogs’ general Terms of Use and Privacy Notice also apply to this Beta Trial. If there’s a conflict between those and these Terms, these Beta Trial Terms apply.
2. Participation in the Beta Trial
To participate, you must:

Be at least 18 years old; and
-
Not be a director, officer, employee, or 5%+ shareholder in any business that directly competes with SeaLogs.
Your participation is at our sole discretion.
You won’t be charged by SeaLogs for this Beta Trial (outside of any existing SeaLogs subscription, if applicable). However, we may charge for access if SeaCompliance AI is commercially launched.
You may incur charges from third-party services (e.g., mobile data, SMS, email services). SeaLogs is not liable for these charges.
You will not be entitled to any compensation or reimbursement for your participation or any feedback provided.
We may change the scope or duration of the Beta Trial at any time or discontinue it altogether. You can opt out at any time.
3. Nature of the Product
SeaCompliance AI is a GenAI-powered virtual assistant designed to support maritime compliance tasks. It is currently in beta and considered “in-development” software (the “Product”).
Please note:

You are interacting with an AI, not a human.

Outputs may be inaccurate or incomplete and should be carefully reviewed before use.

Outputs are not intended as legal or regulatory advice.

The Product may change significantly, may not function correctly, or may be withdrawn entirely.
You use the Product at your own risk and agree to indemnify SeaLogs against any losses arising from its use.
4. Your Obligations
By participating, you agree to:

Provide written or verbal feedback to SeaLogs as requested (e.g., problems, improvements, ideas);

Use the Product only as permitted under the Beta Trial (you may not use it to train other AI systems or enable others to do so);

Meet any technical requirements we set; and
-
Ensure the legality and accuracy of any data you share via the Product.
5. Feedback
We grant you a limited, revocable, non-exclusive licence to use the Product during the Beta Term for testing and feedback purposes only.
Any feedback you provide will be owned by SeaLogs. We may record feedback sessions (including screens) and use those recordings solely to improve the Product. We’ll delete recordings once no longer needed.
Please do not include any confidential third-party information in your feedback.
6. Confidentiality
As part of this trial, SeaLogs may provide you with confidential information, including but not limited to: features, designs, strategies, research, feedback, and product details (Confidential Information).
You may only use this Confidential Information for the purposes of participating in the Beta Trial. You may not share it unless:

You get written permission from SeaLogs;

The information becomes public through no fault of your own; or
-
You are legally compelled to share it (in which case, notify us unless prohibited by law).
You agree:

This Agreement grants you no ownership of any Confidential Information;

You’ll return or destroy confidential materials if requested;

You will not publicly comment on the Product or Trial (e.g., on social media or marketing) without prior written consent.
7. Data
We’ll handle any personal data in line with our Privacy Notice. If you provide personal data about others, you must have the right to do so.
By using SeaCompliance AI, you authorise SeaLogs to:

Process data (including personal data) to provide Prompts and Outputs;

Share data with third-party partners (including LLM providers);
-
Change those partners as needed without prior notice.
You consent to receive and send communications (e.g., via SMS, WhatsApp, email) for Beta Trial purposes and understand that we may share your contact details with relevant providers.
We’ll also collect usage data, prompts, outputs, and performance metrics (“Beta Data”) to improve the Product.
8. Other Important Stuff
We may subcontract parts of this Beta Trial to third parties.
We may update these Terms at any time. Material changes will be communicated directly. Minor changes may be made without notice.
To the extent permitted by law, neither party is liable for indirect or consequential loss. SeaLogs’ total liability is limited to NZ$100.
These Terms are governed by the laws of New Zealand, and any disputes will be subject to the exclusive jurisdiction of New Zealand courts.
